Terms of Service
The agreement governing your use of Stuff Protocol and its services.
These Terms of Service ("Terms") govern your access to and use of the Stuff Protocol application, website at stuffprotocol.net, and related smart contracts deployed on the Base L2 network (collectively, the "Protocol"). By using the Protocol, you agree to these Terms. If you do not agree, do not use the Protocol.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Protocol. By connecting a wallet or creating an account, you represent that you meet these requirements.
The Protocol is not available to persons subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the EU, the UN Security Council, or other applicable sanctions authorities.
2. Description of the Protocol
Stuff Protocol is a personal asset management protocol built on Base L2. It enables you to:
- Describe and value personal possessions through an AI-powered chat agent
- Create verifiable on-chain attestations of ownership and valuation through the Ethereum Attestation Service (EAS)
- Designate beneficiaries and manage allocation of your registered items
- Establish trusted relationships for asset stewardship
The Protocol is a tool for personal asset management and record-keeping. It does not constitute financial advice, insurance, estate planning, or a legal instrument of transfer.
3. Wallet Connection and Authentication
Access to Protocol features requires connecting a compatible Ethereum wallet and authenticating via Sign-In with Ethereum (SIWE / EIP-4361). You are solely responsible for the security of your wallet, private keys, and seed phrases. We do not have access to your private keys and cannot recover them if lost.
Any transactions initiated from your connected wallet are deemed authorized by you. We are not liable for losses resulting from compromised wallet credentials.
4. On-Chain Attestations
When you register an item through the Protocol, an attestation may be created on the Base network via EAS. You acknowledge and agree that:
- On-chain attestations are permanent and publicly visible once written to the blockchain
- We cannot modify, revoke, or delete attestations after they are submitted to the network
- Attestations represent self-reported information and do not constitute legal proof of ownership, title, or provenance
- The accuracy of attestation data is your responsibility
5. AI Valuation Service
The Protocol includes an AI-powered valuation agent that provides estimated market values for items you describe. These valuations are:
- Estimates only — they are not appraisals, certifications, or guarantees of value
- Not a substitute for professional appraisal — for insurance, legal, or financial purposes, consult a licensed appraiser
- Subject to limitations — AI valuations reflect available market data and the information you provide; actual market value may differ
We make no warranty regarding the accuracy, completeness, or reliability of AI-generated valuations.
6. Allocation and Beneficiary Designations
The Protocol allows you to designate beneficiaries and configure allocation preferences for your registered items. These designations are informational records managed through the Protocol and do not constitute:
- A legal will, trust, or testamentary instrument
- A legally binding transfer of property
- A substitute for estate planning with qualified legal counsel
You should consult an attorney for legally enforceable estate and succession planning.
7. Sponsored Transactions
The Protocol may offer gasless (sponsored) transactions through a paymaster for certain operations, including attestation creation and allocation updates. We reserve the right to limit, suspend, or discontinue sponsored transactions at any time, including based on per-user or global budget constraints.
8. Acceptable Use
You agree not to use the Protocol to:
- Register items you do not own or have no right to register
- Submit false, misleading, or fraudulent information
- Violate any applicable law, regulation, or third-party rights
- Attempt to exploit, disrupt, or compromise the Protocol's infrastructure or smart contracts
- Use the Protocol for money laundering, terrorist financing, or sanctions evasion
- Circumvent rate limits, access controls, or security measures
We may suspend or terminate your access if we reasonably believe you have violated these Terms.
9. Intellectual Property
The Protocol's interface, design, branding, and documentation are owned by Stuff Protocol or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Protocol for personal, non-commercial purposes in accordance with these Terms.
Content you submit through the Protocol (item descriptions, images, metadata) remains yours. By using the Protocol, you grant us a limited license to process, store, and display your content as necessary to provide the service.
10. Fees
The Protocol is currently offered during its testnet phase at no cost. When the Protocol launches on mainnet, certain features may require network gas fees or protocol fees. Any fee changes will be communicated in advance through the Protocol interface.
You are responsible for all gas fees associated with on-chain transactions not covered by the paymaster.
11. Disclaimers
THE PROTOCOL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Protocol will be uninterrupted, error-free, or free of harmful components. Smart contract interactions carry inherent risks, including but not limited to transaction failures, network congestion, and smart contract vulnerabilities.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUFF PROTOCOL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE PROTOCOL.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to indemnify and hold harmless Stuff Protocol and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Protocol, your violation of these Terms, or your infringement of any third-party rights.
14. Modifications
We may revise these Terms at any time. Material changes will be communicated through the Protocol interface at least 30 days before they take effect. Your continued use of the Protocol after the effective date of revised Terms constitutes your acceptance of those changes.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Protocol shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted remotely to the extent possible.
You waive the right to participate in class actions or class-wide arbitration. Nothing in this section prevents you from bringing individual claims in small claims court if your claim qualifies.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stuff Protocol regarding the Protocol and supersede all prior or contemporaneous communications.
